Shanghai Chengdi Xiangjiang Data Technology Co., Ltd. (hereinafter referred to as “the Company”) previously disclosed the “Announcement on the Progress of Major Contract Signing by Wholly-Owned Subsidiary” (Announcement No.: 2026-016, 2026-018). The relevant parties have now completed the signing of two contracts for project construction and operation & maintenance, as detailed below:

  4. Main Contractor Information

Contractor: Shenzhen ZTE Telecommunications Technology Service Co., Ltd. (Lead party of the consortium, hereinafter “ZTE”)

Xiangjiang System Engineering Co., Ltd. (Member of the consortium, hereinafter “Xiangjiang System”)

Shanghai Post and Telecommunications Design Consulting Research Institute Co., Ltd. (Member of the consortium, hereinafter “Post & Telecom Design Institute”)

Shanghai Qisi Cloud Computing Co., Ltd. (Member of the consortium, hereinafter “Shanghai Qisi”)

Ⅰ. Construction Contract

(1) Scope of Work

Includes project design, equipment and material procurement, installation, debugging, testing, and other EPCO project general contracting work. The specific scope is subject to the orders issued by the client or its affiliates.

The scope includes civil renovation, data center interior decoration, pipeline reinforcement, equipment foundations, HVAC, power and electrical systems, fire protection, oil machines, intelligent systems, BA, equipment automation, data center engineering, etc. (including cable entry), meeting the relevant data center construction standards and technical specifications of this project.

(2) Construction Schedule

First batch data hall: Total IT capacity of 30MW, initial acceptance by April 30, 2026, final acceptance by May 30, 2026; wind-cooled cabinets wired by March 31, 2026; liquid-cooled cabinets wired by April 30, 2026.

Second batch data hall: Total IT capacity of 30MW, Phase 1: 14MW wind-cooled, initial acceptance by September 30, 2026; remaining reserved capacity of about 16MW for Phase 2, subject to client’s official order; the data hall topping-out and mechanical & electrical entry conditions (T) start from the date of completion, with initial acceptance 4 months after T+ (excluding Spring Festival holidays).

(3) Contract Amount: The upper limit of this framework contract is RMB: excluding tax【909,648,000】 yuan (in words: Nine hundred nine million six hundred forty-eight thousand yuan), including tax【1,013,309,280】 yuan (in words: One billion thirteen million three hundred thirty thousand two hundred eighty yuan), VAT amount【103,661,280】 yuan (in words: One hundred three million six hundred sixty-one thousand two hundred eighty yuan). The parties agree that this maximum limit is not a commitment to the contract price or remuneration, nor a promise of the actual transaction amount under this contract. Execution and settlement shall be based on purchase orders, but the total executed amount shall not exceed the upper limit (including and excluding tax).

Ⅱ. Operation & Maintenance Contract

(1) Service Content

This service covers operation and maintenance of the project’s computing infrastructure, including power, cooling, weak current, IDC services, etc. It includes but is not limited to configuring maintenance teams, mechanical and electrical equipment maintenance, infrastructure operation and maintenance, tools and instruments configuration and testing.

(2) Contract Duration

From the effective date of the contract until 10 years after all data halls pass final acceptance by the client, on a per-data hall basis. Starting from the 9th year, the client may terminate the order without penalty.

(3) Contract Amount (¥): The upper limit of this framework contract is RMB: excluding tax【194,616,000】 yuan (in words: One hundred ninety-four million six hundred sixteen thousand yuan), including tax【206,292,960】 yuan (in words: Two hundred six million two hundred ninety-two thousand nine hundred sixty yuan), VAT amount【11,676,960】 yuan (in words: Eleven million six hundred seventy-six thousand nine hundred sixty yuan). The parties agree that this maximum limit is not a commitment to the contract price or remuneration, nor a promise of the actual transaction amount under this contract. Execution and settlement shall be based on purchase orders.

  1. Explanation of Contract Breach Terms

The two signed contracts, which have been stamped, have not changed in breach clause content. For details, see the previously disclosed “Announcement on the Progress of Major Contract Signing by Wholly-Owned Subsidiary” (Announcement No.: 2026-016, 2026-018).

Responsibilities and division of labor: The bidding involves ZTE, Post & Telecom Design Institute, and the company’s wholly owned subsidiaries Xiangjiang System and Shanghai Qisi forming a consortium. According to the consortium agreement, ZTE (leader) is responsible for overall contact with the client/bidding agency during the bidding and contract execution phases, including obtaining bidding documents, submitting bid bonds, submitting bids, signing contracts, etc., and will supply mechanical and electrical equipment for Building B05 and part of the electrical construction work; Xiangjiang System (member) is responsible for the infrastructure construction, including supplying all electrical equipment and construction for Building B04 and part of B05; Post & Telecom Design Institute (member) handles the design work for B04 and B05; Shanghai Qisi (member) is responsible for operation & maintenance services for 10 years for B04 and B05.

  2. Workload proportion: ZTE 30%; Xiangjiang System 52.6%; Post & Telecom Design Institute 0.4%; Shanghai Qisi 17%. The consortium will settle and earn revenue proportionally based on workload.
